Acceptance of Terms

By accessing bootprime.com, submitting an enquiry, booking a consultation, or engaging Bootprime for any services, you ("Client", "you") agree to be bound by these Terms and Conditions ("Terms").

These Terms constitute a legally binding agreement between you and Bootprime. If you do not agree with any part of these Terms, please do not use our website or services.

For project engagements, a separate Statement of Work (SOW) or service agreement will be issued. In the event of conflict, the SOW takes precedence over these general Terms.

Our Services

Bootprime provides intelligent automation, AI integration, and software engineering services.

  • Process Automation — end-to-end automation of business workflows using Python, UiPath RPA, n8n, and Make.com
  • AI-Powered Workflows — integration of large language models into operational pipelines
  • System Integration — connecting CRM, ERP, spreadsheets, and third-party APIs
  • Automated Reporting — scheduled dashboards and KPI reporting
  • AI Agent Development — custom agents for document and workflow automation
  • Automation Retainer — ongoing engineering support
  • Process Audit — free consultation to identify automation opportunities

Services are delivered remotely by Bootprime Digital Solutions, a company based in India, serving clients globally including the United States, United Kingdom, and European Union.

Engagement Process

Free Process Audit

Initial consultations and process audits are provided free of charge and without obligation. Attendance does not constitute a commitment to engage paid services.

Proposals & Statements of Work

Following an audit, Bootprime will issue a written proposal or Statement of Work (SOW) outlining scope, timeline, deliverables, and fixed price. An engagement commences only upon:

  • Written acceptance of the SOW by the Client (email confirmation is sufficient)
  • Receipt of any required deposit payment as specified in the SOW
  • Execution of an NDA where applicable

Client Responsibilities

You agree to provide Bootprime with timely access to the systems, data, credentials, and personnel necessary for project delivery. Delays caused by the Client's failure to provide required access may affect delivery timelines and are not the responsibility of Bootprime.

Change Requests

Any scope changes requested after SOW acceptance will be documented in a written change order with revised pricing and timeline. Bootprime is not obligated to deliver out-of-scope work without a signed change order.

Payment Terms

  • Invoices are due within 7 business days of issuance unless otherwise stated in the SOW
  • Retainer invoices are raised at the start of each billing cycle. Failure to pay within 14 days may result in suspension of services
  • Fixed-price projects: work commences upon receipt of deposit. Final delivery is contingent on receipt of the remaining balance
  • All prices are exclusive of VAT (UK clients will be charged VAT where applicable) and applicable local taxes
  • Payments accepted via bank transfer, Stripe, or methods stated on the invoice

Late Payments

Invoices unpaid beyond 14 days of the due date may incur a late payment fee of 1.5% per month on the outstanding balance, in accordance with the UK Late Payment of Commercial Debts Act 1998 where applicable.

✓ Fixed-price means fixed price. We will never charge more than the agreed amount for the agreed scope — no hourly surprises.

Intellectual Property

Client Ownership

Upon receipt of full and final payment, Bootprime assigns to the Client all rights, title, and interest in the custom automation code, scripts, and workflows built specifically for the Client's project ("Deliverables"). The Client owns what we build for them.

Bootprime Retained Rights

Bootprime retains ownership of:

  • Pre-existing frameworks, libraries, templates, and methodologies used in the build
  • Internal tooling, development utilities, and proprietary processes
  • Generic code patterns and reusable components not specific to the Client's use case

Bootprime grants the Client a perpetual, irrevocable licence to use any such pre-existing materials embedded in the Deliverables.

Third-Party Tools & Licences

Where automations are built on third-party platforms (n8n, Make.com, UiPath, AWS, etc.), the Client is responsible for obtaining and maintaining appropriate licences. Bootprime will advise on requirements during scoping.

Portfolio & Case Studies

Bootprime may reference the existence of a client engagement in anonymised case studies and marketing materials, unless the Client explicitly requests otherwise in writing.

Confidentiality & NDA

Both parties agree to keep confidential all proprietary or sensitive information disclosed during the engagement. For enterprise and retainer clients, a formal NDA is executed before any discussion of business processes or data.

  • Bootprime will not disclose Client business data, processes, credentials, or technical details to any third party without explicit written consent
  • Confidentiality obligations survive termination of the engagement for a period of 3 years
  • The Client agrees to keep Bootprime's pricing, methodologies, and proprietary tooling confidential
  • NDAs are available on request before any audit call — simply ask at booking

Data Handling & Security

Where project delivery requires Bootprime to access or process Client data:

  • Such access is provided solely for the purpose of designing, building, and testing the agreed automation
  • Bootprime will process data in the minimum amount necessary for delivery
  • Client data is not stored permanently on Bootprime infrastructure; test environments are purged upon project completion
  • Where automations are deployed in Client-owned cloud infrastructure, Bootprime acts as data processor; the Client remains data controller
  • A Data Processing Agreement (DPA) can be executed on request for GDPR-regulated engagements

Warranties & Support

Delivery Standards

Bootprime warrants that all Deliverables will:

  • Perform the functions described in the agreed SOW under normal operating conditions
  • Be delivered with reasonable skill and care by qualified engineers
  • Be accompanied by full documentation and a walkthrough video recording
  • Be tested and validated prior to live deployment

30-Day Bug Fix Guarantee

All fixed-price projects include a 30-day post-delivery bug fix period at no additional cost. This covers defects in the original Deliverables. It does not cover:

  • Changes to third-party APIs, platforms, or data structures outside Bootprime's control
  • Client-side configuration changes made after delivery
  • New feature requests or scope additions (these require a change order)

Retainer Support

Growth Retainer clients receive ongoing maintenance and priority support with same-day Slack response during UK/US business hours, as described in the retainer agreement.

While we provide ROI estimates in good faith, Bootprime does not guarantee specific business outcomes, revenue gains, or cost savings. These depend on the Client's own operations and are provided for illustration purposes only.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Bootprime's total liability for any claim arising from a project shall not exceed the total fees paid by the Client for that specific project
  • Bootprime is not liable for indirect, consequential, incidental, or special damages including loss of profits, loss of data, or business interruption
  • Bootprime is not liable for failures caused by third-party platform outages, API changes, or factors outside our reasonable control
  • The Client is responsible for maintaining appropriate backups of their data and systems prior to any automation deployment

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Termination

Fixed-Price Projects

Either party may terminate a fixed-price engagement with written notice. In the event of Client termination after work has commenced, Bootprime is entitled to payment for work completed to date, based on a fair assessment of effort delivered.

Growth Retainer

The Growth Retainer may be cancelled by the Client at any time with no penalty. Cancellation takes effect at the end of the current billing month. No partial month refunds are issued. Bootprime may terminate a retainer with 30 days' written notice.

Termination for Cause

Bootprime may terminate immediately if the Client:

  • Fails to pay an overdue invoice within 30 days of a payment reminder
  • Engages in abusive, threatening, or unlawful behaviour toward Bootprime personnel
  • Requests or uses Bootprime services for illegal purposes

Effect of Termination

Upon termination, the Client retains ownership of all paid-for Deliverables. Confidentiality obligations and IP assignment provisions survive termination.

Acceptable Use

By using our website and services, you agree not to:

  • Use the website for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorised access to Bootprime systems or client data
  • Engage Bootprime to build automations that violate data protection laws, scrape data unlawfully, spam recipients, or engage in fraudulent activity
  • Misrepresent your identity, authority, or the nature of your business during an engagement
  • Reverse-engineer, resell, or sublicense Bootprime's proprietary tools or methodologies without consent
  • Use automations built by Bootprime to harm, deceive, or disadvantage third parties

Bootprime reserves the right to refuse or terminate any engagement where we have reasonable grounds to believe the intended use is unethical, illegal, or harmful.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. For international clients, specific engagements may reference applicable local law as agreed in the Statement of Work.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days before initiating formal legal proceedings.

Changes to These Terms

Bootprime reserves the right to update these Terms and Conditions from time to time. We will:

  • Post updated Terms on this page with a revised "Last Updated" date
  • Notify active retainer clients by email of any material changes
  • Provide at least 14 days' notice before material changes take effect for ongoing engagements

Continued use of our website or services following notice of changes constitutes acceptance. If you do not agree, you may terminate any retainer agreement as described in Section 10.
